Terms of Service

Effective Date: September 20, 2026

These Terms of Service (“Terms”) govern your access to and use of the PalApp Labeling software and related websites and services (collectively, the “Service”), provided by PalApp Tech Systems, LLC (“PalApp,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for keeping your login credentials secure. You are responsible for all activity under your account.

2. Subscriptions, Fees, and Billing

Access to the Service is offered on a subscription basis. Pricing, billing, renewal, trial, and refund terms are described in the Subscription License Agreement (EULA), which is incorporated into these Terms by reference. Payments are processed by our third-party payment processor, Stripe; by subscribing you also agree to Stripe’s terms.

3. License to Use the Service

Subject to these Terms and payment of applicable fees, PalApp grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. All rights not expressly granted are reserved.

4. Acceptable Use

You agree not to: (a) copy, modify, reverse engineer, decompile, or create derivative works of the Service; (b) resell, sublicense, or share access except as permitted; (c) use the Service to violate any law or third-party right; (d) attempt to gain unauthorized access to or disrupt the Service; or (e) upload malicious code.

5. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by PalApp Tech Systems, LLC and its licensors and is protected by intellectual property laws. “PalApp,” “PalApp Labeling,” and related marks are trademarks of PalApp Tech Systems, LLC. You receive no ownership rights in the Service.

6. Customer Data

You retain ownership of the data you submit to the Service (“Customer Data”). You grant PalApp a license to host and process Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.

7. Third-Party Services

The Service integrates with third-party providers (including Stripe for payments and cloud hosting and email providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALAPP TECH SYSTEMS, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless PalApp Tech Systems, LLC from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

11. Term and Termination

These Terms apply while you use the Service. We may suspend or terminate your access for breach of these Terms. Upon termination, your license ends and you must stop using the Service. Sections that by their nature should survive termination will survive.

12. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms and updating the Effective Date. Continued use after changes take effect constitutes acceptance.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Will County, Illinois for any disputes, unless otherwise required by law.
