Subscription License (EULA)

Effective Date: September 20, 2026

This Subscription License Agreement (“Agreement”) is between PalApp Tech Systems, LLC (“PalApp,” “we,” “us”) and the individual or entity subscribing to the PalApp Labeling software (“you”). By starting a trial or subscription, you agree to this Agreement.

1. License Grant

Subject to your payment of fees and compliance with this Agreement, PalApp grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the PalApp Labeling software (the “Software”) during your active subscription term, for your internal business purposes.

2. Subscription Plan and Fees

Studio Lite is offered as an annual subscription. The first-year price is $499 USD, which includes a one-time $100 setup fee plus the $399 annual fee. The subscription then renews at $399 USD per year. All fees are stated in U.S. dollars and are exclusive of any applicable taxes.

3. Free Trial

We may offer a free trial of 14 days. Unless you cancel before the trial ends, your subscription will automatically begin and the applicable fee will be charged to your payment method. We may modify or discontinue trials at any time.

4. Billing and Automatic Renewal

Payments are processed by Stripe. By subscribing, you authorize PalApp, through Stripe, to charge your payment method for the then-current fees. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY each year at the $399 annual fee until you cancel. We will attempt to notify you before each renewal where required by law.

5. Cancellation

You may cancel at any time through your account or by contacting info@palapptech.com. Cancellation stops future renewals; it takes effect at the end of the current paid term, and you retain access until then.

6. Refunds

Except where required by law, all fees — including the annual subscription fee and the one-time setup fee — are non-refundable.

7. Price Changes

We may change subscription pricing. Any change to your renewal price will be communicated before it takes effect, and you may cancel before the change applies.

8. Restrictions

You may not: (a) copy, modify, translate, or create derivative works of the Software; (b) reverse engineer, decompile, or disassemble the Software except as permitted by law; (c) rent, lease, resell, sublicense, or provide the Software to third parties; (d) share your account credentials or exceed the seats/usage you purchased; or (e) remove or obscure any proprietary notices.

9. Ownership

The Software is licensed, not sold. PalApp Tech Systems, LLC retains all right, title, and interest in and to the Software and all intellectual property rights therein. This Agreement grants you no ownership rights.

10. Updates and Support

PalApp may provide updates, enhancements, or support at its discretion; these are part of the Software and subject to this Agreement. We may modify or discontinue features over time.

11. Term and Termination

This Agreement continues while your subscription is active. We may suspend or terminate your license if you breach this Agreement or fail to pay. On termination, your right to use the Software ends and you must stop using it.

12. Disclaimers and Limitation of Liability

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALAPP TECH SYSTEMS, LLC’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM, AND PALAPP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

13. Governing Law

This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-laws rules.
